NEWFUNDS GOVI EXCHANGE TRADED FUND - WITHDRAWAL OF ANNOUNCEMENT IN
RESPECT OF THE CHANGE FROM A REINVESTING PORTFOLIO TO A DISTRIBUTING
PORTFOLIO

NF GOVI Portfolio unitholders (“Unitholders”) are referred to the announcement released on the Stock
Exchange News Service of the JSE Limited (“SENS”) on 21 October 2020 (“GOVI SENS
Announcement”), and using the definitions therein, are herewith advised that the GOVI SENS
Announcement is withdrawn with immediate effect.

The reason for the withdrawal is that the Manager’s SENS announcement issued on 21 October 2020
incorrectly stated that the portfolio’s supplemental deed did not comply with the Conduct Standard.
Upon further internal review it was determined that the portfolio’s supplemental deed in fact does comply
with the Conduct Standard.

Further to the above, the Manager still intends to change the investment policy in the supplemental
deed and other applicable clauses in the main deed of the NF GOVI Portfolio from a Reinvesting
Portfolio to a Distributing Portfolio (“Proposed Changes”). However, the Proposed Changes to amend
the investment policy in the supplemental deed and other applicable clauses in the main deed of the
NF GOVI’s distribution method require Unitholders agreeing to, and final regulatory approval being
obtained, before the Manager may implement the Proposed Changes.

In this regard, Unitholders will be engaged in due course to obtain their approval for the Proposed
Changes through a balloting process and then the required regulatory approvals will be sought.

A further announcement will be released on SENS with the effective date of the Proposed Changes,
once all of the Unitholder and regulatory approvals have been obtained.
